Zee promoter group set to raise potential stake to 17.9 per cent

Sunbright acquires 20.94 crore warrants, which could add 17.90 per cent to Zee’s diluted equity

MUMBAI: Zee’s promoter group is turning up the volume on its potential stake. Sunbright Mauritius Investments Limited, a promoter-group entity of Zee Entertainment Enterprises, has acquired 20,94,47,805 fully convertible warrants through a preferential allotment, potentially giving it a 17.90 per cent stake in the company after full conversion.

According to a disclosure filed with the stock exchanges under the SEBI Substantial Acquisition of Shares and Takeovers Regulations, the warrants were acquired on August 21, 2026, with the disclosure dated August 25.

Sunbright Mauritius had reported no shares, voting rights, warrants or other convertible securities in Zee before the transaction. Following the allotment, it holds the 20.94 crore warrants, which represent 17.90 per cent of Zee’s fully diluted share capital, assuming every warrant is converted into equity.

The transaction was carried out through a preferential allotment, rather than an open-market purchase. Each warrant can be converted into one fully paid-up Zee equity share with a face value of Rs 1. The conversion can take place in one or more tranches within 18 months from the date of allotment.

The distinction is important: the warrants have not yet been converted into equity shares. For now, Sunbright holds convertible securities that give it the potential to acquire the corresponding shares.

Zee currently has 96,05,19,420 equity shares of Rs 1 each. If all 20.94 crore warrants are converted, its diluted share capital would rise to 116,99,67,225 shares, with the new shares accounting for the disclosed 17.90 per cent stake.

The move could therefore materially reshape Zee’s capital structure while strengthening the promoter group’s potential participation in the company.

For Sunbright Mauritius, the warrant allotment provides a route to build a sizeable position in Zee over the next 18 months. For Zee, meanwhile, the immediate headline is not an increase in promoter shareholding but the potential for one and a fairly sizeable one at that.
