Publicis challenges CCI over entity named in advertising cartel investigation

Legal dispute over corporate identity stalls antitrust probe into India’s advertising industry

New Delhi: A legal name has become a big legal game in one of India’s most closely watched competition investigations. Publicis Groupe has moved the Delhi High Court, arguing that the country’s antitrust watchdog has initiated proceedings against its global brand rather than its Indian legal entity, a challenge that has slowed the progress of the wider advertising cartel probe.

The dispute centres on an investigation by the Competition Commission of India into alleged cartelisation in the advertising industry. The regulator is examining whether major advertising agencies coordinated media pricing, discounts and other commercial practices, following a series of searches conducted at the Indian offices of several global networks last year, according to Reuters.

Besides Publicis, the investigation also covers agencies linked to GroupM, Dentsu, Omnicom and other multinational advertising groups.

According to Reuters, Publicis has argued before the Delhi High Court that the CCI should amend its records to replace “Publicis Groupe” with TLG India, which it says is the legally recognised corporate entity operating in India. The company contends that the proceedings have been initiated against a brand name rather than a legal entity.

The legal challenge has been pending before the Delhi High Court for more than a year and has effectively delayed the regulator’s investigation into one of the country’s largest competition cases involving the media and advertising ecosystem.

During a hearing last week, counsel representing the Competition Commission of India told the court that the regulator would consider adding TLG India to the proceedings and would return with its decision. At the same time, the CCI argued that the company’s request appeared intended to secure the exclusion of its parent company from the investigation’s scope, Reuters reported.

Publicis has maintained that it is prepared to cooperate with the investigation once the proceedings correctly identify its Indian legal entity, according to the report.

The High Court’s eventual ruling could shape not only the course of the CCI’s advertising cartel investigation but also clarify how multinational companies are identified in future regulatory proceedings, a procedural issue with potentially significant implications for corporate investigations in India.
