Paramount WBD merger delay leaves employees divided over future

Legal battle deepens uncertainty as staff weigh job risks against stability

MUMBAI: The biggest drama at Paramount and Warner Bros. Discovery is unfolding well before the opening credits. As the proposed $110 billion merger remains stuck in legal limbo, employees at both companies are grappling with an uncertain future, split between fears of fresh job cuts and hopes that the deal could secure their long-term survival.

According to a Business Insider report, the transaction has been put on hold after a US judge issued a temporary order in response to an antitrust lawsuit filed by 12 states. David Ellison’s company has since agreed not to complete the merger until five days after the legal challenges are resolved, or by 1 June 2027, whichever comes first.

The delay has intensified anxiety inside both organisations.

Several Paramount employees told Business Insider they fear that combining two media giants would inevitably lead to overlapping roles and workforce reductions. Others, however, believe the company’s future could be even more uncertain if the merger falls apart.

The financial stakes are substantial. If the transaction is abandoned, Ellison’s company would be required to pay Warner Bros. Discovery a $7 billion breakup fee. It has also agreed to pay WBD shareholders around $7 million per day after 30 September until the merger is completed, creating additional pressure to keep the deal alive.

Those commitments have persuaded some employees to support the merger despite the prospect of restructuring.

Among Warner Bros. Discovery staff, opinions are equally divided. While some worry that another round of media consolidation could shrink opportunities across the industry, others see potential personal benefits through stock grants linked to the acquisition.

One veteran WBD employee told Business Insider that their ideal outcome would be for the merger to proceed, followed by a redundancy package that includes 15 months’ severance pay.

Paramount has consistently argued that combining with WBD would create a stronger rival to streaming and technology giants such as Netflix and YouTube, while expanding its ability to produce films and television programming.

Not everyone is convinced.

Employees opposing the merger said they were exhausted by years of corporate consolidation and repeated restructuring. One streaming manager described being “tired of mergers and chaos”, while another employee said the company’s future remained difficult to predict.

Supporters counter that the merger offers the best chance of protecting jobs over the long term. A Paramount research employee reportedly said that although the deal could have wider consequences for the media industry, it represented the strongest path towards sustained employment.

The report also cited a senior advertising executive who believes a combined company would strengthen Paramount’s position by offering advertisers a broader portfolio of premium inventory. Another senior streaming executive said they expected the merger to secure regulatory approval.

Proponents further argue that combining the companies’ extensive content libraries would improve their ability to compete with rivals such as Disney and Netflix, while unlocking cost savings through operational consolidation.

Opponents of the transaction, however, argue that the merger would do the opposite. The lawsuit filed by 12 US states contends that the deal would weaken competition by giving the combined company greater influence over cable distribution and theatrical film releases. Prominent actors, directors and the Writers Guild of America have also opposed the merger, warning that it could reduce opportunities for creators and lead to fewer production jobs.

For now, the blockbuster deal remains paused, leaving employees to wait for a legal verdict that could shape not only the future of two Hollywood studios, but also thousands of careers behind the scenes.
