Oregon drops bid to delay Paramount’s Warner Bros. Discovery deal

State withdraws court motion as scrutiny of proposed $110 billion merger continues

MUMBAI: One legal roadblock has rolled away, but the merger marathon is far from over. Oregon’s attorney general has withdrawn a court motion seeking to delay Paramount’s proposed $110 billion acquisition of Warner Bros. Discovery, removing an immediate obstacle even as regulatory scrutiny surrounding the blockbuster deal continues.

The Oregon Department of Justice said it decided to withdraw its request for a 60-day delay after concluding that Paramount would not comply with its investigative demands. The department added that it is now evaluating its next course of action, according to Reuters.

Earlier this week, Oregon Attorney General Dan Rayfield had asked a Multnomah County court to compel Paramount to produce documents and postpone the transaction, arguing that the state required additional time to examine the merger. Oregon had also said Paramount agreed not to complete the transaction before July 22 while the review was underway.

At the heart of the dispute was the state’s request for records linked to “Project Warrior,” Paramount’s internal code name for its regulatory approval strategy. Officials were also seeking documents relating to the company’s lobbying efforts and communications intended to support the merger.

Paramount welcomed the withdrawal of the motion, describing the proposed transaction as “lawful” and “pro-competitive.” The company said the decision removes an unnecessary delay for a deal that has already undergone regulatory examination in multiple jurisdictions.

If completed, the merger would unite two of Hollywood’s four major film studios, creating one of the industry’s largest entertainment companies. Paramount argues the combination would strengthen its ability to compete with global streaming giants and rapidly evolving media businesses.

However, critics continue to warn that further consolidation could reduce competition, trigger job losses and narrow opportunities for talent across the entertainment industry.

Although Oregon has stepped back from its immediate legal challenge, the proposed acquisition remains under scrutiny. Other US states are reportedly continuing their reviews and could still pursue legal action over potential antitrust concerns.

The transaction has also drawn attention from actors, writers and industry organisations, many of whom fear that combining two major studios could reshape Hollywood’s employment landscape and further concentrate power within the global entertainment business.

For now, Paramount has cleared one hurdle but with regulatory reviews still unfolding, the final act of the merger is yet to be written.
