Zee Media shareholders wave through all three AGM resolutions

MUMBAI: Zee Media Corporation held its 27th annual general meeting on Tuesday, September 22nd, and shareholders backed every resolution on the table, comfortably and without drama. The meeting ran through video conferencing and other audio-visual means, opening at 11:30am and wrapping up by 1214 hrs, with the e-voting window staying open a further 15 minutes for stragglers.

Ranjit Srivastava, company secretary and compliance officer, welcomed members, while Susanta Kumar Panda, chairman of the board, presided as chairman for the meeting. Raktimanu Das, chief executive officer, and Dinesh Kumar Garg, executive director finance and chief financial officer, were also on hand through video conferencing, alongside the statutory, secretarial, cost and internal auditors. Panda briefed members on business performance and industry outlook, and seven speaker shareholders raised queries on financials, all fielded by Das and Garg. In all, 70 shareholders attended via video conferencing, five from the promoter and promoter group and 65 public shareholders.

The numbers tell their own story. On resolution one, adopting the annual audited financial statements for the year ended March 31st 2026, 233,557,999 votes came in favour against a mere 5,679 against, a thumping 99.9976 per cent in favour. Resolution two, re-appointing Surender Singh as director, cleared with 233,693,039 votes for and 7,473 against, or 99.9968 per cent. Resolution three, ratifying cost auditor remuneration for 2026-27, passed with 233,694,752 in favour and 5,760 against, translating to 99.9975 per cent approval. Across the board, promoter and promoter group votes came in at a clean 100 per cent in favour each time.

Neelam Gupta, proprietor of Neelam Gupta & Associates and scrutinizer for the meeting, oversaw remote e-voting from September 19th to 21st and in-meeting e-voting via NSDL’s platform, unblocking the system at 12:29pm on the day in the presence of independent witnesses Bindu Sharma and Pradeep Khari, before submitting her consolidated report confirming all three resolutions carried the requisite majority.
