DEN Networks shareholders approve all four resolutions at 19th AGM

Financial statements, Anuj Jain’s reappointment and related-party deals get approval

MUMBAI: DEN Networks’ AGM was a case of all votes, no close calls. Shareholders of cable and broadband company DEN Networks have approved all four resolutions tabled at its 19th Annual General Meeting, held on September 2, 2026.

The company disclosed the voting results and Consolidated Scrutinizer’s Report to the stock exchanges on September 3, with all four proposals receiving the required majority through remote e-voting and e-voting conducted during the meeting.

The first resolution covered approval of DEN Networks’ audited standalone financial statements for the financial year ended March 31, 2026, along with the Board of Directors’ and Auditors’ reports. More than 358.6 million votes were cast in favour, against just 8,584 votes, taking the approval rate to approximately 99.9976 per cent.

The consolidated financial statements and auditors’ report also received overwhelming backing, with 99.9772 per cent of votes in favour and 0.0228 per cent against.

Shareholders also backed the reappointment of Anuj Jain (DIN: 08351295) as a director. Jain, who was retiring by rotation, received more than 358.3 million votes in favour, while over 381,000 votes were against. The resolution secured 99.8937 per cent approval.

The third resolution concerned ratification of the remuneration payable to the company’s cost auditors for FY27. It received 99.9976 per cent of votes in favour, with just 0.0024 per cent against.

The fourth resolution, covering DEN Networks’ Material Related Party Transactions, also cleared the shareholder vote. It received 641,584 votes in favour and 8,636 votes against, translating to approximately 98.67 per cent approval.

The AGM was conducted through Video Conferencing (VC) and Other Audio-Visual Means (OAVM). According to the company, 1,49,649 shareholders were on record as of the August 26, 2026 cut-off date.

Participation in the virtual AGM included 10 Promoter/Promoter Group shareholders and 198 public shareholders.

With all four resolutions clearing the required majority, DEN Networks has effectively ticked every item off the AGM agenda with shareholder support running above 98 per cent for each proposal.
